Terms of Service – Underground Shelter Systems

These Terms of Service (“Terms”) govern the access to, use of, and transactions conducted through this website and any related agreements between the purchaser (“Customer”) and [Your Company Name] (“Company”, “we”, “us”, or “our”) in relation to underground shelter systems and associated products and services.

By engaging with the Company, placing an order, or entering into any agreement, the Customer agrees to be legally bound by these Terms.


1. Scope of Services

The Company provides design, engineering, manufacturing, supply, delivery, and/or installation of underground shelter systems (“Products”).

All Products are:

  • Custom-engineered;

  • Project-specific;

  • Dependent on Customer inputs, approvals, and site conditions.


2. Customer Responsibilities

The Customer shall:

  • Provide accurate and complete project data, including site conditions, dimensions, load requirements, and usage intent;

  • Ensure site readiness, accessibility, and compliance with local regulations;

  • Obtain all necessary permits, approvals, and third-party consents unless otherwise agreed in writing;

  • Review and approve all drawings, specifications, and technical submissions prior to production.

The Company shall not be liable for errors arising from incorrect or incomplete Customer-provided information.


3. Technical Approvals

All drawings, calculations, specifications, and design submissions shall be deemed approved and binding once confirmed by the Customer.

Post-approval:

  • No changes shall be permitted without formal variation;

  • Any modification may result in additional cost, delays, and revised obligations.


4. Pricing and Payment Terms

  • All quotations are valid for a limited period as specified;

  • Prices are based on defined scope and assumptions;

  • Any variation in scope, specifications, or site conditions may result in additional charges.

Unless otherwise agreed:

  • A non-refundable advance payment is required to initiate work;

  • Milestone or progress payments shall be strictly adhered to;

  • The Company reserves the right to suspend work for delayed payments.


5. Delivery and Timelines

  • Delivery and completion timelines are estimates only;

  • Timelines are subject to factors including design approvals, site readiness, logistics, and force majeure events.

The Company shall not be liable for delays arising from:

  • Customer actions or inactions;

  • Site constraints;

  • Regulatory approvals;

  • External or unforeseen conditions.


6. Installation and Site Conditions

Where installation is included:

  • The Customer shall ensure the site is fully prepared and accessible;

  • Any deviation in site conditions from agreed parameters may result in:

    • Additional costs;

    • Delays;

    • Design modifications.

Where installation is not performed by the Company:

  • All responsibility for installation, integration, and performance shall rest solely with the Customer or their appointed contractors.


7. Risk and Title

  • Risk in the Products shall transfer to the Customer upon delivery to site or designated location;

  • Title shall transfer only upon full and final payment.

The Company shall not be responsible for:

  • Damage, loss, or deterioration after delivery;

  • Storage conditions at site.


8. Returns, Refunds, and Acceptance

All returns, refunds, and product acceptance shall be governed strictly by the Company’s Return, Refund and Acceptance Policy, which forms an integral part of these Terms.


9. Warranty Disclaimer

Unless expressly stated in a separate written warranty:

  • The Products are provided “as is” based on approved specifications;

  • The Company disclaims all implied warranties, including fitness for a particular purpose, except to the extent required by applicable law.

Performance of the Product is dependent on:

  • Proper installation;

  • Site conditions;

  • Intended use.


10. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for:

    • Indirect, incidental, or consequential damages;

    • Loss of profits, business interruption, or project delays;

  • The Company’s total aggregate liability shall be limited to the value of the Products supplied, excluding services, logistics, and third-party costs.


11. Indemnity

The Customer agrees to indemnify and hold harmless the Company against any claims, damages, or liabilities arising from:

  • Incorrect information provided by the Customer;

  • Improper installation or use;

  • Third-party actions;

  • Non-compliance with applicable laws or regulations.


12. Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

  • Natural disasters;

  • Government restrictions;

  • Supply chain disruptions;

  • Labor or transportation issues.


13. Intellectual Property

All designs, drawings, calculations, and technical documents remain the exclusive property of the Company and shall not be:

  • Reproduced;

  • Shared with third parties;

  • Used for any purpose other than the agreed project.


14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the United Arab Emirates, and any disputes shall be subject to the exclusive jurisdiction of the UAE courts.


15. Entire Agreement

These Terms, together with any quotations, technical documents, and policies referenced herein, constitute the entire agreement between the parties and supersede all prior communications.


16. Amendments

The Company reserves the right to amend these Terms at any time. Continued engagement shall constitute acceptance of the updated Terms.
