Return, Refund and Acceptance Policy – Underground Shelter Systems

This Return, Refund and Acceptance Policy (“Policy”) forms an integral part of the agreement between the purchaser (“Customer”) and [Your Company Name] (“Company”) and applies specifically to the design, manufacture, supply, delivery, and/or installation of underground shelter systems and associated components (“Products”).


1. Nature of Product

The Customer acknowledges and agrees that:

  • The Products are engineered, custom-designed, and site-specific structural systems;

  • Each Product is manufactured based on project-specific inputs, including but not limited to soil conditions, load requirements, access constraints, and Customer-approved drawings;

  • The Products are not standard consumer goods and are therefore not eligible for return under conventional retail principles.


2. Finality of Orders

All orders, once confirmed (including approval of drawings, specifications, or technical submissions), shall be considered final, binding, and non-cancellable.

No returns, cancellations, or refunds shall be permitted except under strictly limited conditions outlined herein.


3. Inspection and Deemed Acceptance

The Customer shall:

  • Inspect the Products immediately upon delivery and/or installation;

  • Notify the Company in writing of any alleged defects within 48 hours of delivery or commissioning.

Failure to notify within this period shall constitute:

  • Full, unconditional, and irrevocable acceptance of the Products;

  • Waiver of any right to reject, return, or dispute the Products.


4. Limited Grounds for Claims

Claims shall only be considered where:

  • There is a material structural defect directly attributable to manufacturing; or

  • The delivered Product substantially deviates from the final approved technical drawings.

For clarity:

  • Minor variations, tolerances, or deviations inherent to fabrication, transportation, or site conditions shall not constitute defects;

  • Performance variations arising from site conditions, installation by third parties, or misuse are excluded.


5. Exclusions

Without limitation, the following are strictly excluded from return, refund, or claim:

  • Products manufactured as per Customer-approved drawings and specifications;

  • Any installed, embedded, or underground components;

  • Products altered, modified, or interfaced with third-party systems;

  • Damage resulting from:

    • Improper site preparation;

    • Soil movement, water ingress, or environmental factors;

    • Unauthorized installation or handling;

  • Delays or issues arising from site readiness or access constraints.


6. Determination and Technical Evaluation

All claims shall be subject to:

  • Technical inspection by the Company or its authorized representatives;

  • Engineering assessment based on design parameters and intended use.

The Company shall retain sole and absolute discretion to determine:

  • The validity of any claim;

  • The root cause of any issue;

  • The appropriate resolution.

Such determination shall be final, conclusive, and binding.


7. Remedies and Limitations

Where a claim is accepted, the Company may, at its sole discretion:

  • Rectify or repair the affected component;

  • Provide replacement of the defective component (not the entire system); or

  • Offer a partial commercial adjustment where appropriate.

Under no circumstances shall the Company be obligated to:

  • Remove installed systems;

  • Provide full system replacement;

  • Issue refunds where corrective measures are reasonably feasible.


8. Refund Restrictions

In the exceptional event that a refund is approved:

  • It shall be limited strictly to the value of the defective component only;

  • All costs relating to:

    • Design and engineering

    • Mobilization and logistics

    • Installation and commissioning

    • Site works
      shall remain non-refundable.

Refunds shall be processed within 30–45 business days, subject to internal approvals.


9. Return and Removal Conditions

Approved returns (if any) shall be subject to:

  • Written authorization from the Company;

  • Removal, dismantling, and transportation at the Customer’s sole cost and risk;

  • Restoration of the Product to a recoverable condition.

The Company shall not be responsible for any damage incurred during dismantling or transit.


10. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for:

    • Indirect, incidental, or consequential damages;

    • Loss of use, project delays, or business interruption;

  • The Company’s total aggregate liability shall not exceed the contract value of the supplied Product components only.


11. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of the United Arab Emirates, and any disputes shall be subject to the exclusive jurisdiction of the UAE courts.


12. Policy Supremacy

In the event of any inconsistency between this Policy and any other document, this Policy shall prevail unless expressly overridden in a signed written agreement by the Company.
